Godwin Capital loan notes enter administration

Investors in the loan notes and any connected advisory firms await news of next steps

Property fund slams closure of Serious Fraud Office case

Godwin Capital, the investment arm of Godwin Developments – with connections to Capital 3PM –  has entered into administration across some its loan note offerings, leaving investors in limbo and some prominent advice and wealth management firms sweating on what happens next.

Administrators were appointed on 19 and 20 June 2025 to four entities linked to the firm’s loan note offerings: Godwin Capital No.6, No.8, No.20, and No.21.

Godwin Capital, which is also connected to Capital 3PM, has investments that have been understood to have been referred or sold via a number of  international financial advice firms and advisers across the last few years in the UK, US, Middle East and Europe. The investments promoted via the scheme included property-backed bonds with the ‘guarantee’ of double-digit returns.

Blue Water Capital

Blue Water Capital and law firm Francis Wilks & Jones have been brought on board to assist with the administration process.

Blue Water Capital issued a statement that read: “Godwin Capital advised Blue Water Capital Limited last week that despite their efforts to turn the business around, the group would be entering into an insolvency process.

“We can confirm that pursuant to the charge held we have appointed MHA to act as joint administrators on behalf of the secured creditors.”

Godwin Developments is based in Birmingham UK and has built a range of residential, commercial, and mixed-use projects across the UK in Bristol, Nottingham, Derby, Cambridge, and Newcastle, from student accommodation, build-to-rent housing to  logistics hubs and roadside retail. Projects such as The Bendigo Buildings in Nottingham and the Dove Lane scheme in central Bristol are among those schemes connected.

The development arm remains operational, but issues surrounding the collapse of the investment side will leave many questions unanswered for both investors and advisory firms around how the investments and associated companies will be directly impacted by the administration process.

IA has tried to contact both Godwin Developments and Capital 3PM for a comment but has not yet had a response.
